Introduction and Acceptance of Terms
Welcome to AkawoPay. These Terms of Use and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AkawoPay Technologies Limited ("AkawoPay," "we," "us," or "our"), a company incorporated under the laws of the Federal Republic of Nigeria with its registered office at Plot 1037, Premeire Academy Street, FHA, Lugbe, FCT.
AkawoPay operates a Buy Now, Pay Later ("BNPL") platform that enables Users to purchase everyday essentials and pay for them in instalments through controlled online payments, data-driven affordability checks, and secure API integrations (the "Service"). The Service is accessible via our website at [www.akawopay.com] and our mobile application (collectively, the "Platform").
By accessing, browsing, registering for an account, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Cookie Notice, and any other policies, guidelines, or supplemental terms referenced herein or made available on the Platform (collectively, the "Agreement"). If you do not agree to these Terms, you must not access or use the Service.
By creating an account, accessing, or using the Service, you acknowledge that you have read and understood this Privacy Policy. Where we rely on your consent as the lawful basis for processing your personal data, we will obtain such consent in a manner that is affirmative, informed, specific, and not based on a pre-selected confirmation.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, including but not limited to the Companies and Allied Matters Act, 2020 ("CAMA"), the Nigeria Data Protection Act, 2023 ("NDP Act"), the Central Bank of Nigeria Act, 2007, applicable Central Bank of Nigeria ("CBN") regulations and guidelines, the Cybercrimes (Prohibition, Prevention, etc.) Act, 2015, the Consumer Protection Council Act, and the Federal Competition and Consumer Protection Act, 2018 ("FCCPA").
Definitions
In these Terms, unless the context otherwise requires:
"Account" means the registered user account you create on the Platform to access and use the Service.
"Affordability Assessment" means the data-driven creditworthiness and affordability evaluation conducted by AkawoPay, using financial information, transaction history, and other relevant data, to determine your eligibility for BNPL services and the applicable credit terms.
"BNPL Agreement" means the specific credit agreement entered into between you and AkawoPay for a particular BNPL Transaction, setting out the purchase amount, repayment schedule, fees (if any), and other applicable terms.
"BNPL Transaction" means any purchase of goods or services made by you using the AkawoPay BNPL facility.
"Business Day" means any day other than a Saturday, Sunday, or public holiday in Nigeria on which commercial banks are open for general business in Nigeria.
"Content" means all text, graphics, images, logos, trademarks, software, data, and other materials displayed on or available through the Platform.
"Credit Limit" means the maximum amount of credit that AkawoPay may extend to you at any given time, as determined by the Affordability Assessment and subject to change.
"Default" means any failure by you to make a Repayment when due, or any other breach of these Terms or a BNPL Agreement.
"Instalment" or "Repayment" means each scheduled payment you are required to make to AkawoPay under a BNPL Agreement.
"KYC" means Know Your Customer, being the identity verification and due diligence processes required by applicable law and AkawoPay's policies.
"Merchant" or "Partner Merchant" means any third-party retailer, vendor, or e-commerce platform that has partnered with AkawoPay to offer the BNPL facility to customers.
"Outstanding Balance" means the total amount owed by you to AkawoPay at any given time, including the principal amount, any accrued fees, charges, or penalties.
"Platform" means the AkawoPay website, mobile application, APIs, and any other digital channels through which the Service is made available.
"Repayment Schedule" means the schedule of Instalments applicable to a BNPL Transaction, as set out in the relevant BNPL Agreement.
"Service" means the Buy Now, Pay Later facility and all related services provided by AkawoPay through the Platform.
"User Data" means all personal data, financial information, and other data you provide to AkawoPay or that AkawoPay collects about you in connection with the Service, as further described in our Privacy Policy.
Eligibility
To be eligible to register for an Account and use the Service, you must:
Be a natural person (not a corporate entity or other legal person);
Be at least eighteen (18) years of age, which is the legal age of majority in Nigeria;
Be a citizen or legal resident of Nigeria with a valid residential address in Nigeria;
Possess a valid Bank Verification Number (BVN) and National Identification Number (NIN);
Have a valid Nigerian bank account in your own name with a financial institution licensed by the Central Bank of Nigeria;
Have a valid email address and mobile telephone number;
Have the legal capacity to enter into binding contracts under Nigerian law;
Not be subject to any legal disability, insolvency, bankruptcy, or similar proceedings;
Not have been previously suspended, terminated, or banned from using the Service due to a breach of these Terms or fraud; and
Meet any other eligibility criteria specified by AkawoPay from time to time.
By registering for an Account, you represent and warrant that you meet all of the eligibility requirements set out above. AkawoPay reserves the right to refuse registration, suspend, or terminate your Account if any of these requirements are not met or if your representations are found to be false or misleading.
Account Registration and Security
Registration Process
To use the Service, you must create an Account by completing our registration process. During registration, you will be required to provide accurate, complete, and current information, including but not limited to:
Your full legal name as it appears on your government-issued identification;
Your date of birth;
Your residential address;
Your email address and mobile telephone number;
Your BVN and NIN;
Your bank account details; and
Any other information reasonably required by AkawoPay.
You must also complete our KYC verification process, which may include the submission of government-issued identification documents, biometric verification, and other identity checks required by applicable law and AkawoPay's policies.
Accuracy of Information
You represent and warrant that all information you provide during registration and at any time thereafter is true, accurate, complete, and not misleading. You agree to promptly update your Account information if any changes occur. AkawoPay is entitled to rely on the information you provide and shall not be liable for any loss or damage arising from inaccurate, incomplete, or outdated information.
Account Security
You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your username, password, PIN, and any other authentication information. You agree to:
Create a strong, unique password that is not easily guessable;
Not share your Account credentials with any third party;
Not allow any other person to access or use your Account;
Immediately notify AkawoPay of any unauthorized access to or use of your Account, or any other security breach, by contacting us at hello@akawopay.com ; and
Log out of your Account at the end of each session, particularly when using shared or public devices.
You acknowledge and agree that you are fully responsible for all activities that occur under your Account, whether or not authorized by you, except where such activities result directly from AkawoPay's negligence or willful misconduct. AkawoPay shall not be liable for any loss or damage arising from your failure to comply with the security obligations set out in this Section 4.3.
One Account Per User
Each User may maintain only one (1) Account. The creation of multiple Accounts by the same individual is strictly prohibited and may result in the suspension or termination of all such Accounts, forfeiture of any pending transactions, and other enforcement action.
Description of the Service
Buy Now, Pay Later Facility
AkawoPay provides a Buy Now, Pay Later facility that enables eligible Users to purchase everyday essentials from Partner Merchants and pay for such purchases in Instalments over a defined period. The key features of the Service include:
Instant credit decisions: Following an Affordability Assessment, you will receive an instant decision on your BNPL application, subject to meeting our eligibility and credit criteria.
Flexible repayment: You may repay the purchase amount in multiple Instalments over the Repayment Schedule specified in your BNPL Agreement.
Secure payments: All transactions are processed through our secure API infrastructure, with encryption and fraud prevention measures.
Responsible lending: Our data-driven Affordability Assessments are designed to ensure that you can afford the credit extended to you, promoting responsible borrowing and financial inclusion.
How It Works
The typical BNPL transaction process is as follows:
You browse products or services on a Partner Merchant's platform or through the AkawoPay app.
At checkout, you select AkawoPay as your payment method.
If you are a new User, you complete the registration and KYC process. If you are an existing User, you log in to your Account.
AkawoPay conducts an Affordability Assessment to determine your eligibility and Credit Limit.
If approved, you are presented with the BNPL Agreement, including the purchase amount, number of Instalments, Repayment Schedule, and any applicable fees.
You accept the BNPL Agreement by clicking "Confirm" or a similar affirmative action.
AkawoPay pays the Partner Merchant on your behalf, and the goods or services are delivered to you.
You repay AkawoPay according to the Repayment Schedule.
Credit Limit
Based on your Affordability Assessment, AkawoPay will assign you a Credit Limit, which represents the maximum amount of outstanding credit you may have at any time. Your Credit Limit may be increased or decreased at AkawoPay's sole discretion based on factors including your repayment history, changes to your financial circumstances, and our risk assessment policies. AkawoPay will notify you of any changes to your Credit Limit through the Platform or via email.
Service Availability
AkawoPay aims to make the Service available 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted access to the Service and may suspend or restrict access at any time for maintenance, upgrades, security reasons, or other operational requirements. We will endeavour to provide reasonable notice of any planned downtime where practicable.
Affordability Assessment and Credit Decisions
Affordability Assessment
Before approving any BNPL Transaction, AkawoPay will conduct an Affordability Assessment to evaluate your creditworthiness and ability to repay. This assessment involves the automated and/or manual processing of your personal and financial information, including but not limited to:
Your income and employment status;
Your existing debt obligations and credit history;
Your bank account transaction history;
Your repayment history with AkawoPay (if applicable);
Information obtained from credit reference bureaus; and
Any other relevant financial data.
You acknowledge and consent to AkawoPay obtaining and processing this information for the purpose of conducting the Affordability Assessment, in accordance with our Privacy Policy and applicable data protection laws.
Credit Decisions
The outcome of the Affordability Assessment will determine:
Whether your BNPL application is approved or declined;
Your Credit Limit;
The repayment terms (e.g., number of Instalments, Repayment Schedule); and
Any fees or charges applicable to the transaction.
AkawoPay reserves the absolute discretion to approve or decline any BNPL application without providing reasons, except where required by law. A declined application does not prevent you from applying again in the future, and your eligibility may change based on improvements in your financial circumstances.
Automated Decision-Making
You acknowledge that our Affordability Assessment process involves automated decision-making, including profiling, which may produce legal or similarly significant effects concerning you (e.g., approval or rejection of your application, determination of credit terms). You have the right to:
Obtain human intervention in respect of any automated decision;
Express your point of view regarding the decision; and
Contest the decision.

Responsible Lending
AkawoPay is committed to responsible lending practices. Our Affordability Assessments are designed to ensure that credit is extended only where you have demonstrated the ability to repay without undue financial hardship. If you believe that a BNPL Transaction would cause you financial difficulty, you should not proceed with the application.
BNPL Terms and Repayment Obligations
BNPL Agreement
Each BNPL Transaction is governed by a separate BNPL Agreement, which will be presented to you before you confirm the transaction. The BNPL Agreement will specify:
The total purchase amount;
The number of Instalments;
The amount of each Instalment;
The due date(s) for each Instalment;
Any fees, charges, or interest applicable to the transaction; and
Any other terms specific to that transaction.
By clicking "Confirm," "Accept," or a similar affirmative action, you accept the BNPL Agreement and agree to be bound by its terms.
Repayment Obligations
You agree to repay all Instalments in full and on time in accordance with the Repayment Schedule. Repayments will be debited automatically from the bank account or payment method linked to your Account on the due date(s) specified in the BNPL Agreement.
You are responsible for ensuring that:
Sufficient funds are available in your linked bank account to cover each Instalment on the due date;
Your bank account details and payment information are accurate and up to date; and
Any direct debit mandates or payment authorizations remain valid and in effect.
Fees and Charges
AkawoPay may charge fees in connection with the Service, including but not limited to:

A fee charged only when the customer reschedules repayment.

A fee charged to reactivate an Account that has been suspended due to Default.
Not Applicable
All applicable fees will be clearly disclosed to you before you confirm a BNPL Transaction. AkawoPay reserves the right to amend its fee structure from time to time, with notice to Users in accordance with these Terms.
Interest
Interest may be charged on BNPL Transactions at the rate specified in the BNPL Agreement. Interest will be calculated on the outstanding principal balance and disclosed to you before you confirm the transaction, in compliance with applicable consumer credit regulations.
Early Repayment
You may repay your Outstanding Balance in full or make early partial payments at any time without penalty, unless otherwise specified in the BNPL Agreement. Early payments will be applied first to any outstanding fees, then to the principal balance.
Default
You will be in Default if:
You fail to make any Instalment by the due date;
Any payment is returned or dishonoured;
You breach any provision of these Terms or a BNPL Agreement;
Any representation or warranty made by you is found to be false, misleading, or inaccurate;
You become insolvent, bankrupt, or subject to any similar proceedings; or
AkawoPay reasonably believes that you are unable or unwilling to meet your repayment obligations.
Consequences of Default
In the event of Default, AkawoPay may, without prejudice to any other rights or remedies:
Charge Late Payment Fees and Failed Payment Fees as set out in Section 7.3;
Suspend or terminate your Account and deny you access to further BNPL Transactions;
Declare the entire Outstanding Balance immediately due and payable;
Report your Default to credit reference bureaus, which may negatively affect your credit score and ability to obtain credit in the future;
Engage third-party debt collection agencies to recover the Outstanding Balance on our behalf;
Commence legal proceedings against you to recover the Outstanding Balance, together with interest, costs, and legal fees; and
Exercise any other rights or remedies available under applicable law.
You acknowledge that Default may have serious consequences for your financial standing and agree to contact AkawoPay immediately if you anticipate difficulty in meeting your repayment obligations. We may, at our discretion, offer alternative repayment arrangements in cases of genuine financial hardship, but we are not obligated to do so.
User Obligations and Responsibilities
By using the Service, you agree to:
Use the Service only for lawful purposes and in accordance with these Terms;
Provide accurate, complete, and up-to-date information at all times;
Comply with all applicable laws, regulations, and guidelines, including but not limited to Nigerian financial services regulations, anti-money laundering laws, and consumer protection laws;
Not use the Service for any fraudulent, illegal, or unauthorized purpose;
Not attempt to circumvent or manipulate the Affordability Assessment or any other security or eligibility checks;
Not use the Service to purchase goods or services that are prohibited, illegal, or in violation of Partner Merchant terms;
Not transfer, assign, or otherwise dispose of your Account or any rights or obligations under these Terms without AkawoPay's prior written consent;
Promptly notify AkawoPay of any changes to your contact information, financial circumstances, or any other information that may affect your eligibility or ability to repay;
Cooperate with AkawoPay in connection with any investigation, dispute, or regulatory inquiry; and
Not engage in any conduct that could damage, disable, or impair the Platform or interfere with any other party's use of the Service.
Prohibited Conduct
You agree not to:
Use the Service if you are under 18 years of age or otherwise ineligible;
Provide false, inaccurate, or misleading information during registration or at any time;
Create multiple Accounts or use another person's identity or Account;
Use the Service to engage in money laundering, terrorist financing, fraud, or any other criminal activity;
Use the Service to purchase goods or services for resale or commercial purposes without AkawoPay's prior written consent;
Attempt to gain unauthorized access to the Platform, other Users' Accounts, or AkawoPay's systems;
Introduce viruses, malware, or other harmful code to the Platform;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform or any component thereof;
Scrape, harvest, or collect data from the Platform using automated means without authorization;
Use the Service in any manner that violates the intellectual property rights of AkawoPay or any third party;
Harass, abuse, or harm AkawoPay employees, agents, or other Users;
Use the Service in any manner that could bring AkawoPay into disrepute; or
Encourage or assist any other person to do any of the foregoing.
Violation of this Section 9.0 may result in immediate suspension or termination of your Account, forfeiture of any pending transactions, reporting to law enforcement authorities, and legal action to recover damages.
Intellectual Property
AkawoPay's Intellectual Property
The Platform and all Content, including but not limited to the AkawoPay name, logo, trademarks, service marks, trade dress, software, algorithms, databases, text, graphics, images, audio, video, and other materials, are the exclusive property of AkawoPay or its licensors and are protected by Nigerian and international intellectual property laws, including the Copyright Act, the Trade Marks Act, and the Patents and Designs Act.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your personal, non-commercial use in accordance with these Terms. This licence does not include:
Any resale or commercial use of the Platform or Content;
Any collection or use of product listings, descriptions, or prices;
Any derivative use of the Platform or Content;
Any downloading or copying of Account information for the benefit of another party; or
Any use of data mining, robots, or similar data gathering and extraction tools.
All rights not expressly granted herein are reserved by AkawoPay.
User Content
If you submit any content, feedback, suggestions, or ideas to AkawoPay (collectively, "User Content"), you grant AkawoPay a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content for any purpose, without compensation or attribution to you. You represent and warrant that you have all necessary rights to grant this licence and that the User Content does not infringe any third-party rights.
Partner Merchants and Third-Party Services
Partner Merchants
The Service enables you to make purchases from Partner Merchants. AkawoPay is not a party to any transaction between you and a Partner Merchant, except to the extent that AkawoPay provides the BNPL facility. AkawoPay is not responsible for:
The quality, safety, legality, or availability of any goods or services offered by Partner Merchants;
The accuracy of any product descriptions, pricing, or other information provided by Partner Merchants;
The fulfilment, delivery, or returns of any goods or services purchased from Partner Merchants; or
Any disputes between you and a Partner Merchant.
Any issues relating to the goods or services purchased must be resolved directly with the relevant Partner Merchant in accordance with their terms and policies. Your repayment obligations to AkawoPay remain in full force regardless of any dispute with a Partner Merchant, unless AkawoPay agrees otherwise in writing.
Third-Party Links and Services
The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by AkawoPay. AkawoPay has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites or services. You access third-party sites at your own risk and are subject to their terms and conditions.
Disclaimers
Service Provided "As Is"
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
No Guarantee
AkawoPay does not guarantee that:
The Service will meet your requirements or expectations;
The Service will be uninterrupted, timely, secure, or error-free;
The results obtained from the use of the Service will be accurate or reliable;
Any errors or defects in the Platform will be corrected; or
Your BNPL application will be approved.
No Financial Advice
AkawoPay does not provide financial, investment, tax, or legal advice. The Service is a credit facility, and you should carefully consider your financial circumstances and ability to repay before entering into any BNPL Transaction. If you require financial advice, you should consult a qualified professional.
Limitation of Liability
Exclusion of Certain Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AKAWOPAY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
YOUR USE OF OR INABILITY TO USE THE SERVICE;
ANY UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT;
ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM;
ANY GOODS OR SERVICES PURCHASED FROM PARTNER MERCHANTS; OR
ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT AKAWOPAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, AKAWOPAY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE PAID TO AKAWOPAY IN FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY THOUSAND NAIRA (₦50,000).
Indemnification
You agree to indemnify, defend, and hold harmless AkawoPay, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
Your use of or access to the Service;
Your breach of these Terms or any BNPL Agreement;
Your violation of any applicable law, regulation, or third-party right;
Any fraud, misrepresentation, or wilful misconduct by you;
Any dispute between you and a Partner Merchant; or
Any User Content you submit.
This indemnification obligation shall survive the termination of your Account and these Terms.
Termination
Termination by You
You may terminate your Account at any time by contacting AkawoPay at hello@Akawopay.com. Termination of your Account does not affect your obligation to repay any Outstanding Balance, which shall remain due and payable in accordance with the applicable BNPL Agreement(s).
Termination by AkawoPay
AkawoPay may suspend or terminate your Account, or restrict your access to all or part of the Service, at any time and for any reason, including but not limited to:
Your breach of these Terms or any BNPL Agreement;
Suspected fraud, money laundering, or other illegal activity;
Your failure to pay any Outstanding Balance when due;
Changes in applicable law or regulatory requirements;
Discontinuation of the Service or any part thereof; or
Any other reason at AkawoPay's sole discretion.
Effect of Termination
Upon termination:
Your right to access and use the Service will immediately cease;
Any Outstanding Balance will become immediately due and payable;
AkawoPay may retain your User Data in accordance with our Privacy Policy and applicable law; and
Provisions of these Terms that by their nature should survive termination (including Sections 7.7, 10, 12, 13, 14, 15.3, 16, and 19) shall survive.
Dispute Resolution
Informal Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms, any BNPL Agreement, or the Service (a "Dispute"), you agree to first contact AkawoPay at hello@akawopay.com and attempt to resolve the Dispute informally. AkawoPay will endeavour to respond within fourteen (14) Business Days and work with you in good faith to resolve the matter.
Mediation
If the Dispute cannot be resolved informally within thirty (30) days, either party may submit the Dispute to mediation administered by a mutually agreed mediator or mediation centre in Nigeria. The costs of mediation shall be shared equally by the parties, unless the mediator determines otherwise.
Arbitration
If the Dispute cannot be resolved through mediation within sixty (60) days, either party may submit the Dispute to binding arbitration in accordance with the Arbitration and Mediation Act, 2023 of Nigeria. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement or, failing agreement, in accordance with the rules of the Lagos Court of Arbitration (or another reputable arbitration institution agreed by the parties). The seat of arbitration shall be Lagos, Nigeria, and the language of arbitration shall be English. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or to prevent irreparable harm pending resolution of the Dispute through arbitration.
Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.
Subject to Section 16.0 (Dispute Resolution), the courts of the Federal Republic of Nigeria shall have exclusive jurisdiction over any Dispute arising out of or in connection with these Terms, and you hereby submit to the jurisdiction of such courts.
Changes to These Terms
AkawoPay reserves the right to amend, modify, or update these Terms at any time. If we make material changes, we will notify you by:
Posting the updated Terms on the Platform with a new "Last Updated" date;
Sending an email to the address associated with your Account; and/or
Displaying a prominent notice within the Platform.
Material changes will take effect [thirty (30) days / immediately, as applicable] after notice is provided, unless a longer period is required by law or unless the change is required to address a security issue, legal requirement, or other urgent matter.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and terminate your Account in accordance with Section 15.1.
General Provisions
Entire Agreement
These Terms, together with the Privacy Policy, Cookie Notice, BNPL Agreements, and any other policies or agreements referenced herein, constitute the entire agreement between you and AkawoPay with respect to the Service and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
Waiver
No failure or delay by AkawoPay in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise thereof or the exercise of any other right, power, or remedy. Any waiver must be in writing and signed by an authorized representative of AkawoPay.
Assignment
You may not assign, transfer, or delegate your rights or obligations under these Terms without AkawoPay's prior written consent. AkawoPay may freely assign, transfer, or delegate its rights and obligations under these Terms without notice to you, including in connection with a merger, acquisition, reorganisation, or sale of assets.
Notices
All notices, requests, and other communications under these Terms shall be in writing and shall be deemed to have been duly given when:
Delivered personally;
Sent by email (with confirmation of receipt);
Sent by registered mail or courier (upon receipt); or
Posted on the Platform (for general notices to Users).

Notices to you will be sent to the email address or postal address associated with your Account.
Relationship of Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and AkawoPay. You have no authority to bind AkawoPay in any manner whatsoever.
Force Majeure
AkawoPay shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, labour disputes, power outages, internet or telecommunications failures, pandemics, or other force majeure events.
Language
These Terms are drafted in the English language. If these Terms are translated into any other language and there is a conflict between the English version and the translated version, the English version shall prevail.
Anti-Money Laundering and Counter-Terrorism Financing
AkawoPay is committed to compliance with all applicable anti-money laundering (AML) and counter-terrorism financing (CTF) laws and regulations.
By using the Service, you agree to:
Provide accurate and complete information for KYC and identity verification purposes;
Not use the Service to engage in money laundering, terrorist financing, or any other illegal activity;
Cooperate with AkawoPay in responding to any requests from regulatory or law enforcement authorities; and
Promptly report any suspicious activity to AkawoPay.
AkawoPay reserves the right to suspend, restrict, or terminate your Account and to report suspicious activity to the relevant authorities without notice to you, where required or permitted by law.
